- Introduction
This document encapsulates the terms and conditions (“Terms & Conditions”) under which SLINCAS TECHNOLOGIES PTE. LTD. (“Company”), a company registered in Singapore, shall provide the services as defined below (the “Services”) to its users (“User/You/Your”). The Services shall be made available on its
(a) website [www.slincas.com] available at [insert the hyperlink of the website] (“Website”);
or
(b) application [insert the name of the application/software] (“Platform”).
The User shall read the Terms & Conditions and the privacy policy of the Company available at [insert the hyperlink of the privacy policy] (“Privacy Policy”) before the User decides to access the Website, use the Platform, or avail any Services made available on the Website/Platform. In the event of any discrepancy between the Terms & Conditions and any other policies with respect to the Platform or Website or the Services offered, the provisions of this Terms & Conditions shall prevail. The Terms & Conditions along with the Privacy Policy constitute a legal agreement between the Company and the User in connection with the User’s visit to the Website/Platform and the use of the Services being offered.
- Applicability
This Terms & Conditions is applicable to the following individuals/entities:
- Patients: Individuals or their authorized representatives registering on the Website/Platform for availing the Services.
- Medical Practitioners: Healthcare professionals and their authorized representatives registering on the Website/Platform.
- Hospitals: Hospitals along with their admin and staff registered on the Website/Platform.
- Other Users: Any other user of the Website/Platform.
The Patients, Medical Practitioners, Hospitals, and the Other Users shall be collectively referred to as the “User.”
The Services may change from time to time at the sole discretion of the Company, and the Terms & Conditions shall apply to the User’s visit and use of the Website/Platform to avail the Services as well as to all information provided by the User on the Website/Platform at any given point in time.
- Eligibility and Conditions of Use
- Use of the Website, Platform, and Services is available only to persons who can form legally binding contracts under the applicable laws. The User agrees to comply with all the applicable laws.
- The Website, Platform, and the Services are intended solely for persons who are 18 (Eighteen) years of age or older.
- The use of the Website, Platform, and the Services is also not available to persons whose membership/licensing/registration has been suspended or terminated by the Company for any reason whatsoever. Any access to or use of the Website, Platform, and Services by anyone under 18 (Eighteen) years is expressly prohibited.
- By accessing or using the Website, Platform, or Services, the User represents and warrants that the (a) age of the User is as per this clause; (b) User has the right, authority, and capacity to use the Website/Platform and avail the Services; and (c) all information, data, and particulars provided by the User is complete, accurate, true, and correct.
- The Company shall be entitled, in the exercise of its sole discretion, to (a) refuse the registration of any User in the event the User fails to fulfil any one of the eligibility criteria above; (b) suspend/terminate the account of the User on the Website/Platform; and/or (c) change the above eligibility criteria at any time, and in any such event, the User agrees that no claims shall lie against the Company, its related companies, agents, partners, or the service providers in connection therewith.
- Changes to the Terms & Conditions
- The Company reserves the unilateral right, in its sole discretion, to revise and amend the Terms & Conditions from time to time and at any time without providing prior intimation to the User.
- The Company shall post the new version of the Terms & Conditions on its Website/Platform, and any change or modification to these Terms & Conditions shall be effective immediately from the date of such upload of the revised terms and conditions on the Website/Platform.
- It is the User’s responsibility to review the Terms & Conditions from time to time/periodically. The User’s continued use of the Website/Platform with the revised Terms & Conditions shall mean that the User has read and accepted the modified version of the Terms & Conditions.
- Changes to the Website/Platform
- In order to optimize and improve the experience of the Users, the Company may update the Website/Platform from time to time and may change the content, display, or form without giving any prior notice to the Users.
- The Company does not guarantee that the Website/Platform, any content provided, displayed, or form will be free from any error or omission.
- Terms of Use
- The Company believes that every User of the Website/Platform must be in a position to provide informed consent prior to providing any information required for the use of the Website/Platform. By registering on the Website/Platform, the User has consented to the collection, processing, storing, disclosing, and handling of the User’s information set forth in the Privacy Policy, now and as amended from time to time. Processing the User’s information in any way, including but not limited to collecting, storing, deleting, using, combining, sharing, transferring, and disclosing information, all of which activities will take place in compliance with the applicable data protection laws.
- By using the Website/Platform, the User agrees to comply with and be legally bound by this Terms & Conditions.
- The User accepts to allow the Company and its third-party providers to send advertisements/password through different modes, including call, SMS, and email for registration/onboarding, for providing Services, and for providing information on new products and services.
- The User shall use the Website/Platform solely for personal and non-commercial use. Any use of the Website/Platform or their contents other than for personal purposes is prohibited.
- The User’s personal and non-commercial use of this Website/Platform shall be subjected to the following restrictions:
- The User shall not decompile, reverse engineer, or disassemble the contents of the Website/Platform or modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Website/Platform, or remove any copyright, trademark, registration, or other proprietary notices from the contents of the Website/Platform.
- The User shall not (a) use the Website/Platform for commercial purposes of any kind, or (b) advertise or sell the Website/Platform or any products, Services, or domain names, or otherwise (whether or not for profit) or solicit others (including without limitation solicitations for contributions or donations) or use any public forum for commercial purposes of any kind, or (c) use the Website/Platform in any way that is unlawful or harms the Company or any other person or entity as determined by the Company.
- The User shall not (and shall not knowingly or otherwise authorize, allow, or assist any third party to) perform any of the following prohibited activities while availing the Services:
- Making available any content that is misleading, unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, obscene, child-pornographic, lewd, lascivious, profane, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Stalking, intimidating, and/or harassing another and/or inciting others to commit violence.
- Transmitting material that encourages anyone to commit a criminal offence, that results in civil liability, or otherwise breaches any relevant laws, regulations, or code of practice.
- Interfering with any other person’s use or enjoyment of the Website/Platform.
- Making, transmitting, or storing electronic copies of materials protected by copyright without the permission of the owner, committing any act that amounts to the infringement of intellectual property, or making available any material that infringes any intellectual property rights or other proprietary rights of anyone else.
- Making available any content or material that the User does not have a right to make available under any law or contractual or fiduciary relationship unless the User owns or controls the rights thereto or has received all necessary consents for such use of the content.
- Impersonating any person or entity or falsely stating or otherwise misrepresenting the affiliation with a person or entity.
- Posting, transmitting, or making available any material that contains viruses, Trojan horses, worms, spyware, time bombs, cancelbots, or other computer programming routines, code, files, or such other programs that may harm the Website/Platform, interests, or rights of other Users or limit the functionality of any computer software, hardware, or telecommunications, or that may harvest or collect any data or personal information about other Users without their consent.
- Accessing or using the Website/Platform/Services in any manner that could damage, disable, overburden, or impair any of the Website/Platform servers or the networks connected to any of the servers on which the Website/Platform is hosted.
- Intentionally or unintentionally interfering with or disrupting the services or violating any applicable laws related to the access to or use of the Website/Platform/Services, violating any requirements, procedures, policies, or regulations of networks connected to the Website/Platform/Services, or engaging in any activity prohibited by these Terms & Conditions.
- Disrupting or interfering with the security of or otherwise causing harm to the Website/Platform or gaining unauthorized access to User accounts, passwords, servers, or networks connected to or accessible through the Website/Platform or any affiliated or linked sites.
- Interfering with or inhibiting any User from using and enjoying access to the Website/Platform or other affiliated sites, or engaging in disruptive attacks such as denial of service attacks on the Website/Platform.
- Altering or modifying any part of the Services.
- Using the Services for purposes that are not permitted by: (a) these Terms & Conditions; and (b) any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdiction.
- Violating any of the terms specified under the Terms & Conditions for the use of the Website/Platform/Services.
- Registration and Onboarding
- The Website/Platform can be used to facilitate the Users to avail the Services. The User shall have limited access to the Website/Platform as an unregistered user on the Website/Platform.
- It shall be the sole responsibility of the User, at the User’s cost, to:
- Obtain all the necessary hardware, software, and communications services necessary for the use of the Website/Platform. Any and all network connectivity costs shall be borne exclusively by the User.
- Pay any fees or charges in accordance with any terms in effect at the time they are incurred.
- Take steps to ensure the security of their device for using the Website/Platform.
- In the event the User is willing to use the Website/Platform for availing the Services, the User shall register to create an account in the following manner:
- For Patients: Any new user shall sign up on the Website/Platform by providing their phone number and authenticating the mobile number through OTP verification. Any existing user can sign-in on the Website/Platform using the OTP verification. Existing users will be redirected to the home screen of the Website/Platform, and new users will be directed to the onboarding screen to initiate the onboarding process. The user is required to provide the following information: name, email, gender, age, profile image, height, weight, and blood group. The user can upload the profile image through their gallery and the device camera. The user shall provide a signed declaration in order to complete the onboarding process.
- For Medical Practitioners: Any new medical practitioner shall sign up on the Website/Platform by providing their phone number and authenticating the mobile number through OTP verification. Any existing medical practitioner can sign-in on the Website/Platform using the OTP verification. Existing medical practitioners will be redirected to the home screen of the Website/Platform, and new medical practitioners will be directed to the onboarding screen to initiate the onboarding process. The medical practitioner is required to provide the following information: name, email, gender, profile image, specialty, and location. The medical practitioner is also required to upload the document of the license for practicing as a medical practitioner with a date of expiry on the document. The medical practitioner shall provide a signed declaration in order to complete the onboarding process. The account of the medical practitioner shall not be activated even after successful onboarding until the license document uploaded by the medical practitioner is reviewed. The medical practitioners shall be provided an auto-generated permanent QR code once the medical practitioner signs up for the first time. The Users can scan this QR code of the medical practitioners, and the request will be directly sent to the medical practitioner for the medical practitioner to accept the request.
- For Hospitals: The Company shall be creating a profile of the concerned hospital, and the credentials shall be shared by the Company with the hospital admin for logging in and managing the profile. The profile of the hospital shall reflect basic analytics, including the total number of patients, doctors, and staff. The hospital can alter basic details, including the name of the hospital, address, phone number, and password on the profile created by the Company. The concerned hospital can manage the following through its profile: (a) medical practitioners; and (b) the staff of the hospital. The hospital cannot create a profile for the medical practitioners and can merely add any existing medical practitioner to the hospital’s profile. The hospital will be able to view the details of the medical practitioner but cannot alter or make any changes to the profile of the medical practitioner. The hospital can make the medical practitioner inactive, and the inactive medical practitioner will not be getting any messages from the hospital when the medical practitioner’s status is set as inactive. The hospital can also generate a unique QR code that allows the users to connect with a specific medical practitioner. The hospital can also download/view the list of patients that a particular medical practitioner handles but cannot alter or make changes in the profile of the patients. For onboarding the staff of the hospital, the concerned hospital shall create profiles for the staff and share the credentials. The staff can then change the password and other profile details once the credentials have been shared by the hospital. The hospital will have the ability to inactivate the staff profile, and the staff will not be able to log in to the profile until the profile is set active by the hospital. The hospital shall also have an ability to delete the profile of the staff, and the staff will no longer be a user of the Website/Platform. The deleted user is required to sign up again. The connection request by the patient for a specific medical practitioner shall be first shared with the hospital staff, who has the ability to accept the connection request. The hospital staff will be required to hand over the patients to the medical practitioners once the connect request is accepted by the staff.
- For Other Users: The registration and onboarding process given for the Patients under clause 7(a) shall be followed for registering and onboarding any Other User.
- The User shall be responsible for maintaining the confidentiality of the account password and restricting access to the User’s computer, and the User hereby accepts the responsibility for all activities that shall occur in the User’s account.
- The User agrees that the personal information provided by the User will be accurate and complete at all times while using the Website/Platform or availing the Services.
- If the User is using, browsing, accessing, or availing the Services on someone else’s behalf, the User represents that the User has the authority to bind that person to the Terms & Conditions. In that event, the Company shall not be responsible for any wrongful act or infringement of rights or any other act whatsoever in nature, and the User shall be responsible.
- The Company shall not be responsible if the User’s account has been hacked or security has been breached.
- The Company reserves the right to terminate the User’s account without giving any prior notice to the User in case of any violation of the Terms & Conditions.
- Services
- The Company uses global infrastructure to operate the Website/Platform and enable the Services to the Users. This infrastructure may be owned and/or operated by the Company’s service providers, including affiliated companies.
- Services and their details to be provided by the Company shall be listed on the Website/Platform, and the User will be able to view the Services on the Website/Platform.
- The Company wishes to improve doctor and patient communication by providing the Services through the chat feature and does not provide the voice call or message feature.
- The Services are available to the Users only after making a physical consultation with the Medical Practitioner at least once.
- The following services are provided on the Website/Platform, including inter alia:
- Enabling the Users with the search feature option to search for Medical Practitioners from an exhaustive list of Medical Practitioners.
- Providing the User with an option to connect with the Medical Practitioners based on their specialty, geographical location, etc.
- Connecting the Users with the Medical Practitioner by scanning a QR code via the in-built QR code scanner of the User.
- Allowing the Users to send connection requests to the Medical Practitioners.
- Allowing the Users to send and receive messages from the Medical Practitioners once connected with the Medical Practitioners.
- Allowing the Users to share the documents, reports, and other attachments.
- Allowing the Users to edit and update the information provided for their profile except for the mobile number associated with the account.
- Enabling the Users to change their password and delete the account.
- Enabling the Users to upload medical documents.
- Enabling the Medical Practitioners to search the Users, use the texting feature to chat with the Users.
- Enabling the Medical Practitioner to share the picture messages but not documents.
- Allowing the Medical Practitioner to schedule the teleconsultation with a Patient.
- The Patients cannot interact with each other, and only the communication between the Medical Practitioner and the Patients are allowed.
- Please note that the Company assumes no responsibility for the User complying with any agreements or duties to third parties, applicable laws, rules, and regulations.
- The Company will ensure Users are provided confirmed appointments on the Website/Platform. However, the Company shall be under no liability if such an appointment is later canceled by the Medical Practitioner or the same Medical Practitioner is not available for the appointment.
- The User agrees that each consultation accepted by the Medical Practitioner shall constitute a separate agreement between the Medical Practitioner and the User, to which neither the Company nor its affiliates shall be a party.
- The results of any search Users perform on the Website/Platform for Medical Practitioners shall not be construed as an endorsement by the Company of any such particular Medical Practitioner.
- The Company is merely a provider of the Website/Platform and is not in the business of providing any healthcare or medical advice or diagnosis. The Medical Practitioners are independent professionals and are responsible for the services rendered to the Users; hence the Company shall not be responsible for any interactions between the User and the Medical Practitioner.
- The Company does not and shall not be deemed to direct or control the Medical Practitioners, including in connection with the services being provided by the Medical Practitioners or the Medical Practitioner’s acts or omissions.
- Any opinions, advice, or information expressed by the Medical Practitioners are those of the Medical Practitioner alone and do not reflect the opinions of the Company.
- The User acknowledges that there are inherent limitations to the Services provided by the Company and that in respect of certain medical situations, physical consultations may be a more appropriate medium for medical evaluation, diagnosis, and/or consultation. Such medical situations include, but are not limited to: (a) situations requiring urgent care or emergency conditions; (b) serious conditions (e.g., breathlessness, severe or persistent pains, cardiac arrest); (c) chronic conditions which have not been previously diagnosed by a doctor; and (d) any condition requiring further investigations, including but not limited to laboratory tests and imaging modalities.
- Cancellation Policy
- The Medical Practitioners may cancel the pre-booked appointment of the Users without giving any prior notice to the Users. The User agrees that the Company shall not be liable for any such cancellation.
- The Users may cancel the appointment with Medical Practitioners without giving any prior notice to the Medical Practitioners.
- Privacy
- In order to provide the Services to the User, the Website/Platform collects some of the personal information of the User. The collection and use of personal information is encapsulated in the Privacy Policy. Please review this policy.
- The User is required to agree to the processing of the personal information as laid out in the Privacy Policy.
- The User agrees that the Company may disclose personal information provided, including the data entered into the Website/Platform, if required to by law or government request, such as a warrant, or as specified in the Privacy Policy.
- Intellectual Property Ownership and Rights Notices
- The Website/Platform is protected by copyright, trademark, and other applicable laws.
- The User acknowledges and agrees that the Website/Platform, including all associated intellectual property rights, is the exclusive property of the Company and its licensors.
- The User shall not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Website/Platform.
- All trademarks, service marks, logos, trade names, and any other proprietary designations of the Company used on or in connection with the Website/Platform are trademarks or registered trademarks of the Company.
- Trademarks, service marks, logos, trade names, and any other proprietary designations of third parties used on or in connection with the Website/Platform are used for identification purposes only and may be the property of their respective owners.
- The User understands and agrees that the User is bound by the additional terms, guidelines, and policies that apply to the use of the Website/Platform.
- Application License
- Subject to your compliance with these Terms & Conditions, the Company grants the User a limited, non-exclusive, non-transferable license to use the Website/Platform on each mobile device or computer that the User owns or controls. All other rights not expressly granted to the User are reserved by the Company.
- Governing Law and Dispute Resolution
- These Terms & Conditions shall in all respects be governed by, interpreted, and construed in accordance with the laws of Singapore.
- If any dispute or difference arises between the parties during the subsistence of these Terms & Conditions or thereafter in connection with the validity, interpretation, termination, implementation, or alleged breach of any provision of these Terms & Conditions or regarding any question relating hereto, the parties shall endeavor to settle such dispute or difference amicably. In the event that they are unable to agree to an amicable solution to the dispute or difference, the parties shall refer such dispute or difference for arbitration.
- Upon failure to amicably settle within a period of [30 (Thirty)] working days from the raising of the dispute or difference whatsoever arising between the parties out of or relating to the construction, meaning, scope, operation, or effect of these Terms & Conditions or the validity or the breach thereof or such extended period as the parties may agree, the dispute or difference shall be settled by arbitration in accordance with the arbitration rules of the Singapore International Arbitration Centre, and the award made in pursuance thereof shall be binding on the parties.
- The dispute shall be referred to a sole arbitrator who shall be mutually appointed by the parties. The seat or legal place and venue of arbitration shall be Singapore. The arbitration proceedings shall be conducted in English. The arbitral award shall be in English, in writing, and shall be final and binding upon the parties.
- The costs and expenses of the arbitration shall be borne equally by each party to the dispute or claim, and each party shall pay its own fees, disbursements, and other charges of its counsel.
- Indemnity
- The User agrees to fully indemnify and hold harmless the Company, its affiliates, related companies, members, officers, employees, agents, partners, and service providers (collectively the “Indemnitees”) from and against any claim, demand, loss, damage, cost, or liability (including legal fees) which any of the Indemnitees may suffer or suffers in connection with or arising from (a) any information or content which the User submits, posts, transmits, communicates, sends, publishes, uploads, or otherwise makes available through the Website/Platform; (b) User’s breach of these Terms & Conditions and any terms relating to your use of the Website/Platform; (c) the access or use of the Website/Platform by the User; (d) any action taken by the Company either as part of its investigation of any suspected breach of these Terms & Conditions or as a result of the finding or decision that a breach of these Terms & Conditions has occurred; and (e) the breach of any rights of any other person.
- Limitation of Liability
- To the maximum extent allowed under applicable law:
- The Indemnitees shall not be liable for any claim, damage, or loss of any kind, of any nature whatsoever caused and howsoever arising as a result (direct or indirect) of or otherwise in connection with the use of or reliance on the Website and/or Platform, including but not limited to any claim, damage, or loss suffered (whether incidental, special, indirect, or consequential) as a result of or in connection or in reliance on any content or any other information made available or accessed on or through the Website/Platform or contained in or available from the Website/Platform or the use or reliance on any products or services available on or accessed via the Website/Platform or any infringement of any rights arising in connection therewith, including without limitation any loss of data, profits, goodwill, anticipated savings, reputation, business, or business opportunity, regardless of the cause thereof.
- In no event shall the Indemnitees be liable for personal injury or any incidental, special, indirect, or consequential damages whatsoever, including without limitation damages for loss of profits, corruption or loss of data, failure to transmit or receive any data, business interruption, or any other commercial damages or losses arising out of or related to the use or inability to use the Website/Platform or any third-party software or applications in conjunction with the Website/Platform, howsoever caused, regardless of the theory of liability (contract, tort, or otherwise).
- In the event that the Company is held liable, the Company shall only be responsible for direct losses or damages which may be reasonably expected to result from the circumstances and provided such losses and damages were caused by the Company’s gross negligence or wilful default.
- To the maximum extent allowed under applicable law:
- Severability
- If any part of these Terms & Conditions is determined to be invalid or unenforceable pursuant to applicable law, including but not limited to the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision shall be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms & Conditions shall continue in effect.
- Entire Agreement
- Unless otherwise specified herein, these Terms & Conditions constitute the entire agreement between the User and the Company with respect to the Company’s Website/Platform/Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the User and the Company with respect to the Company’s Website/Platform/Services. The Company’s failure to act with respect to a breach by the User or others does not waive its right to act with respect to subsequent or similar breaches.
